Domestic regulation of reorganization has considerable legal defects and bureaucratized.
Having abandoned the descriptive procedural analysis of reorganization, the author considers the protection of the rights and interests of participants and creditors of business companies through the prism of a private law system, where all guarantees granted to participants and creditors and ways to protect rights, as well as the features of their implementation, reflect the fundamental patterns of the obligatory Rights, theories of invalidity of transactions and the institution of limitation.
The analysis of problematic aspects is carried out in the context of the experience of those countries of continental Europe, whose legal traditions are close to Russian. This allows not only to better understand the origins of domestic regulation, but also to offer the directions of its development.
