This monograph is devoted to one of the most urgent problems of corporate law - the problem of a clash of interests of majority and minority participants in an economic society, finding a reasonable balance of their interests, as well as the problem of protecting minorityans from various kinds of abuses by the majority of majority. The author in his work focuses on the specifics of these problems in the context of a non-public society, and also conducts a detailed comparative legal study on this topic, analyzing the experience of the United States and the UK. Based on the results of the study, specific recommendations were given to improve Russian corporate legislation in this area.
