The work analyzes scientific works and a forensic arbitration practice of applying norms devoted to the forced exclusion of a participant (shareholder) from a non-public company. An analysis of all the jurisdiction of business partners from a non-public company is presented at the current moment of the judicial practice, judicial acts from the first instance to the Supreme Court of the Russian Federation were considered. The study shows that there is the legal uncertainty of the application of this institution and there is an increase in the number of corporate disputes in arbitration courts. The work has studied the most significant issues that are discussed in such cases, recommendations for courts and participants in civil circulation are proposed, and also considered options for resolving corporate conflicts between participants in a non -public company.
The monograph is addressed to young researchers, judges, as well as corporate lawyers.
