Encyclopedia of legal positions of judicial practice in the field of corporate contract implementation

In the book, the author explores property legal relations regulated by the corporate agreement: the turnover of shares (shares) and options, the output of the participant in the economic company, dividends and the liquidation quota of the participant in the economic company, the bankruptcy institution and the corporate agreement. The judicial practice in the most significant organizational legal relations is analyzed: the vote of the participant in the economic company on the agenda, candidacy, information legal relations of the participant in the economic company, regulated by the corporate agreement. The liability of a participant in a business company, regulated by a corporate agreement through civil law institutions such as losses, a penalty and recovery of monetary debt, has been considered. The book provides a judicial practice in which, among the ways of protecting the rights of a participant in a business company and third parties, recognition of the invalid corporate agreement, termination of a corporate agreement, invalidation of a corporate decision of the general meeting of participants in a business company based on a corporate agreement are distinguished.
