In the context of a deterioration in the economic situation and the cost of bank lending, business companies are faced with the need to search for alternative sources of financing. In the absence or insufficiency of internal reserves required to cover current expenses and invest in long -term commercial projects, the company can attract the funds of its owners and external investors, using the existing legal instrumentation for this purpose.
In this book, we decided to analyze the basic legal instruments of corporate financing, which can be used to do the public company: property deposits, an increase in the authorized capital, convertible loan, placement of bonds and restoration as part of retained earnings of unpretentious dividends.
Based on extensive judicial practice in the work, such methods of structuring financial obligations between the owners of the company as optional transactions and the corporate agreement are analyzed, as well as the features of the provision of compensation financing in the anticipation of the bankruptcy of the economic company entailing a decrease in the sequence of satisfaction of the requirements of its shareholders/participants
